Article 1 – Parties
This agreement is concluded between Tescil Market (hereinafter referred to as “PROVIDER”) on the one hand and …………. (T.C. Identity Number/Tax Number: ……………) (hereinafter referred to as “DEALER”) residing at …………. on the other hand, under the following conditions.

Article 2 – Subject of the Agreement
This agreement covers the principles regarding the resale and promotion of software, ready-made websites, mobile applications, add-ons, themes and other digital services offered by PROVIDER by DEALER at a discounted price.

Article 3 – Dealership Fee and Discount Rate

3.1 Dealership Fee (If Any):
DEALER pays a one-time dealership fee of ……….$ (in words: …………… Turkish Lira) to PROVIDER in return for the dealership right.

3.2 Discount Rate:
DEALER benefits from special discounts on products offered by PROVIDER at the following rates:

DEALER receives %…… discount from PROVIDER for products and services.
Discount rates cannot be changed without the written approval of PROVIDER. PROVIDER reserves the right to update these rates periodically.

Article 4 – Rights and Obligations of Parties

4.1 DEALER’s Obligations:

To offer products at the standards determined by PROVIDER.
To avoid behaviors that will harm PROVIDER’s brand value.
To remain loyal to pricing policies.
To prioritize customer satisfaction.

4.2 PROVIDER’s Obligations:

To share current product, catalog and campaign information with DEALER.
To supply products to DEALER at discounted prices.
To provide necessary technical and operational support.

Article 5 – Payment and Invoice

Payments are made before the order or as agreed with the PROVIDER.
Invoices to be issued to the DEALER are issued in Turkish Lira.
All sales are tracked through the PROVIDER’s e-commerce infrastructure.

Article 6 – Contract Term and Termination

This contract is valid for 1 year from the date of signature.
One of the parties may terminate the contract by giving 15 days’ prior written notice.
In the event of a breach of obligation by one of the parties, the other party may terminate the contract immediately.

Article 7 – Confidentiality and Non-Competition

The DEALER is obliged to keep the information belonging to the PROVIDER confidential during the contract period and after its termination.
The DEALER may not provide unauthorized sales or services on a direct competitor platform in the same sector.

Article 8 – Dispute and Enforcement

In disputes that may arise between the parties, the Courts and Enforcement Offices of the ……………….. are authorized.
This contract consists of a total of 8 (eight) articles and is signed in two copies.
